Do you work on a commission-only basis?
No. We advance the costs for outsourced activities, and we cannot take the financial risk, a stance reinforced by several challenging past experiences. Specifically, we have faced situations where:
- Unforeseen developments: An introduction facilitated by us led to a significant strategic development; the appointment of the introduced partner to the client’s board of directors. While this outcome provided substantial non-financial value, it did not constitute ‘Financing’ as defined in the Agreement, and therefore, no commission was charged.
- Professionalism faltered: Some clients reacted negatively or became hostile when investors asked standard critical questions during due diligence.
- Agreements were circumvented: A client cancelled their agreement shortly after we introduced a committed investor who also intended to bring in others. Another client proceeded with a €10 million investment introduced by us but failed to inform us, trying to avoid the agreed commission. The investor informed us later.
- Payment was refused post-success: Despite securing €450,000 plus a valuable strategic investor for a client, they refused to pay the commission, falsely claiming no agreement existed, which necessitated legal action.
- Client commitment was lacking: We’ve had clients fail to attend scheduled investor meetings or disregard crucial advice, sometimes deterring investors with unrealistic expectations.
- Communication Breakdown: A client became completely unresponsive to our emails, calls, and WhatsApp messages, despite an investor we introduced actively waiting for a follow-up discussion, stalling the process.
